These Terms and Conditions ("Terms") govern your access to and use of the wage transparency platform ("Platform") provided by BORDERLESSTECH LTD ("Company", "we", "us", "our"), a company registered in the United Kingdom with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX.

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Platform.

2. Definitions

  • "User", "you", "your" refers to any individual or entity that accesses or uses our Platform.
  • "Content" refers to any information, data, text, software, graphics, or other materials that are displayed on or available through our Platform.
  • "Salary Data" refers to compensation information, including but not limited to salary, bonuses, benefits, and other remuneration details submitted to our Platform.
  • "Payslip" refers to document(s) provided by employers detailing payment information that may be uploaded to our Platform for verification purposes.

3. Account Registration

To access certain features of our Platform, you may need to register for an account. When registering, you agree to:

  • Maintain and promptly update your account information.
  • Keep your password secure and confidential.
  • Accept responsibility for all activities that occur under your account.

4. Platform Use and Restrictions

5. Submission of Salary Data and Payslips

By submitting salary data and/or payslips to our Platform, you:

  • Represent that you have the legal right to share this information.
  • Grant us permission to process, anonymize, aggregate, and display this information in accordance with our Privacy Policy.
  • Understand that we may verify the accuracy of your submissions.
  • Acknowledge that while we take measures to protect your privacy, you are ultimately responsible for ensuring you are not breaching any confidentiality or employment agreements by sharing this information.

We reserve the right to reject or remove any submitted data that we believe to be false, misleading, or in violation of these Terms or applicable laws.

6. Data Verification Process

Our Platform includes a verification process for salary data through payslip uploads. You acknowledge that:

  • Verification is conducted to ensure data accuracy and reliability.
  • We may request additional information to complete the verification process.
  • We employ security measures to protect your sensitive information during this process, as outlined in our Privacy Policy.
  • Verified data may be given prominence or special designation on our Platform.

7. Intellectual Property Rights

The Platform and all of its content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, and software) are owned by the Company, its licensors, or other providers and are protected by UK and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Platform, except:

  • Your computer may temporarily store copies of materials for ordinary browsing purposes.
  • You may print or download a reasonable number of pages for your personal, non-commercial use.
  • If we provide social media features with certain content, you may take actions as are enabled by such features.

8. User Content

9. Disclaimer of Warranties

Your use of our Platform is at your sole risk. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Platform will be uninterrupted, timely, secure, or error-free.
  • The results that may be obtained from the use of the Platform will be accurate or reliable.
  • The quality of any information or other material obtained through the Platform will meet your expectations.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will the Company, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use or inability to use the Platform, including but not limited to personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorney's fees) arising out of or relating to your violation of these Terms or your use of the Platform.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

13. Changes to Terms

We may revise these Terms at any time by updating this page. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised Terms.

14. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

These Terms, our Privacy Policy, and any other agreements or policies referenced herein constitute the sole and entire agreement between you and the Company regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
